Definitions
• “Agency”, “We”, “Our”, “Us” refers to Twigital, located at 407 RatnaMani Complex, Indore, Madhya Pradesh, India.
• “Client”, “You”, “Your” refers to the individual or entity engaging our services.
• “Services” refers to the digital marketing services provided by Twigital, including but not limited to Search Engine Optimization (SEO), Google Ads, Meta Ads, Social Media Optimization (SMO), and Website Development.
Service Engagement and Delivery
• We will provide the Services as outlined in the specific proposal, package, or agreement agreed upon by both parties.
• The Client agrees to provide timely access to necessary resources, including but not limited to website access (CMS/FTP), social media accounts, ad accounts, and brand assets required to execute the campaigns.
• Delays in providing access, content, or approvals by the Client may result in timeline extensions for which the Agency is not responsible.
Payment Terms
• Invoicing: Services are billed [Monthly in advance / 50% upfront and 50% upon completion].
• Payment Due Date: All invoices must be paid within [7] days of receipt.
• Late Fees: We reserve the right to pause ongoing campaigns or charge a late fee of [5]% per month for invoices unpaid past the due date.
Cancellations and Refunds
• Month-to-Month Retainers: Clients may cancel ongoing monthly services (such as SEO or Ads management) with a [30-day] written notice.
• Refunds: Due to the nature of digital marketing and the labor/time involved, all payments made are [strictly non-refundable]. We do not guarantee specific rankings or sales figures, as third-party platforms (Google, Meta) frequently change their algorithms.
Intellectual Property
• Client Assets: You retain full ownership of all logos, text, imagery, and brand assets you provide to us.
• Agency Deliverables: Upon full payment, you will own the final deliverables (e.g., website code, ad copy, graphics) created specifically for your campaigns.
• Working Files: We retain ownership of our proprietary tools, working files, and underlying strategies used to execute your campaigns.
Third-Party Platforms
Our services heavily rely on third-party platforms (Google, Facebook, Instagram, LinkedIn, etc.). We are not liable for:
• Changes in algorithms that affect rankings or ad performance.
• Account suspensions or bans initiated by the platform.
• Changes to the platform’s pricing, features, or advertising rules.
Limitation of Liability
In no event shall Twigital, nor its directors, employees, or partners, be liable for any indirect, consequential, or special liability arising out of or in any way related to your use of this website or our services. Our maximum liability to you for any claim arising from our services will not exceed the total amount paid by you for the specific service in the preceding 3 months.
Confidentiality
Both parties agree to keep all proprietary information, trade secrets, data, and business strategies exchanged during the course of the engagement strictly confidential.
Governing Law & Jurisdiction
These Terms will be governed by and interpreted in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Indore, Madhya Pradesh.
